Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tentaculos peer-to-peer live-streaming platform and related services (the "Service") provided by Tentaculos LLC ("Tentaculos", "we", "us"). By using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. Accounts
Tentaculos is sold through our sales team; accounts are provisioned by an administrator rather than via public self-registration. You are responsible for the activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
2. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate access for violations.
3. Plans, billing and payment
- Fees are charged in the currency stated in your plan or invoice.
- The Service uses a prepaid wallet and invoices. You may fund the wallet and pay invoices from it, or pay an invoice directly. Payments are processed by Stripe (card, Pix or Boleto).
- Plan pricing, peak-usage charges and due dates are as set out in your plan or invoice.
- Except where required by law, payments are non-refundable; refunds, when granted, may be credited to your wallet.
- Taxes are your responsibility unless we state otherwise.
4. Customer content; our role as a service provider
You retain ownership of the content you broadcast or upload ("Customer Content"). You grant us the limited rights necessary to transmit and relay it to deliver the Service. You are solely responsible for your Customer Content and for having all rights and consents needed to stream it.
Tentaculos is a technology and infrastructure provider only. We supply the software and delivery network over which streams are transmitted; broadcasts are initiated, operated and controlled by our customers, not by us. We do not originate, commission, curate, endorse, pre-screen or exercise editorial control over Customer Content, and we have no obligation to monitor it. The availability of any content through the Service does not imply our knowledge or approval of that content. We may — but are not obligated to — investigate suspected violations and enforce our Acceptable Use Policy and DMCA / Copyright Policy, including by removing or disabling content and suspending or terminating accounts, and we cooperate with orders from competent authorities. If you believe content available through the Service is illegal or infringing, report it as described in those policies.
5. Our intellectual property
The Service, including its software, design and trademarks, is owned by Tentaculos or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You may not copy, modify, reverse-engineer, resell or create derivative works except as permitted by law.
6. Suspension and termination
We may suspend or terminate the Service for non-payment, violation of these Terms or the Acceptable Use Policy, legal requirements, or risks to the Service or others. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
7. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free or secure, or that any particular stream quality or audience size will be achieved. Peer-to-peer delivery depends on participants' networks and devices, which we do not control.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENTACULOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some may not apply to you.
9. Indemnification
You will defend and indemnify Tentaculos against third-party claims arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
10. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules, and the parties submit to the state and federal courts located in Wyoming, except where mandatory consumer-protection law requires otherwise.
11. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date; continued use after changes take effect constitutes acceptance.
